These Terms of Service (“Terms”) govern your access to and use of AI 24/7, an all-in-one Sales & Marketing Automation Platform (the “Service”) owned and operated by AI 24/7 powered by AGG (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Accounts, Registration & Eligibility

a.) You must be at least 18 years old and have authority to form binding contracts to use this Service.

b.) To access certain features, you must create an account, provide accurate information, and maintain it.

c.) You are responsible for safeguarding your account credentials. You agree to notify us immediately of any unauthorized use or security breach.

d.) We reserve the right to suspend or terminate your account (or parts thereof) if you violate these Terms or engage in inappropriate or unlawful activity.

2. Free Trial & Subscriptions

a.) You authorize us to charge the payment method you provide for subscription fees. You must keep payment details current.

b.) Subscription fees are non-refundable, except where otherwise required by law or specified in a separate agreement.

c.) We may change fees or introduce new fees by providing advance notice. Continued use after the change indicates your acceptance.

3. User Content, License & Usage Rights

a.) You may upload or input content (“User Content”) — e.g., leads data, messages, marketing materials, media.

b.) By uploading User Content, you represent and warrant that you own or have all necessary rights to grant the rights described herein.

c.) You grant us a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, reproduce, modify, process, adapt, publish, display, distribute, and store the User Content for the purpose of operating, improving, and providing the Service, including analytics, support, and integration with third-party services.

d.) We may retain, backup, or archive your data in accordance with our data retention policies even after account termination (unless you request deletion under applicable law).

4. Acceptable Use & Prohibited Activities

You agree not to use the Service to:

• Violate any applicable law, regulation, or rights of third parties (including privacy, intellectual property, export controls).

• Transmit viruses, malware, or other harmful code.

• Attempt to gain unauthorized access to the Service or other users’ data.

• Interfere with or disrupt the integrity or performance of the Service.

• Use data scraping, bots, or other automated means to access or extract data without permission.

• Send spam, unsolicited communications, or engage in illegal marketing practices.

We may monitor usage and suspend or terminate accounts that breach the acceptable use policy.

5. Intellectual Property

a.) All rights, title, and interest in and to the Service (software, design, infrastructure, trademarks, content, and documentation) remain with us or our licensors.

b.) These Terms do not grant you any ownership of the Service or intellectual property rights, except for the limited license to use the Service in compliance with these Terms.

6. Service Availability, Updates & Maintenance

a.) We strive to make the Service available 24/7, but do not guarantee uninterrupted or error-free operation.

b.) We may perform scheduled maintenance, updates, or emergency repairs, which may result in temporary service disruption.

c.) We may roll out new features or change aspects of the Service. We will aim to notify users of significant changes in advance.

7. Privacy & Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and disclose personal data. By using the Service, you consent to our data practices as described in the Privacy Policy.

8. Third-Party Integrations & Links

a.) The Service may provide integrations or links to third-party services, APIs, or tools.

b.) We do not control those third-party services, and we are not responsible for their content, availability, or practices.

c.) Use of third-party services is at your own risk and subject to their terms.

9. Termination & Suspension

a.) You may cancel your subscription or terminate your account at any time.

b.) We may suspend or terminate your access immediately for violation of these Terms, law, or for convenience (with notice).

c.) Upon termination: Your license to use the Service ends immediately. Sections on User Content & Rights, Intellectual Property, Liability, Dispute Resolution, and such shall survive. We may delete or de-identify stored User Content in accordance with our retention and deletion policies unless otherwise required by law.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties regarding performance, uptime, accuracy, fitness for a particular purpose, or non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law:

• We (and our affiliates, employees, agents, and licensors) shall not be liable for any indirect, incidental, special, punitive, or consequential damages (including lost profits, data loss, or business interruption) arising from your use of, inability to use, or reliance on the Service.

• Our total aggregate liability under these Terms or in relation to the Service shall not exceed the amount you paid us in the 12 months immediately prior to the event giving rise to the claim (or, if you never paid, a nominal amount e.g. USD 100 or PHP equivalent).

12. Indemnification

You agree to indemnify, defend, and hold harmless AI 24/7, its affiliates, officers, directors, employees, and agents from any claim, demand, liability, loss, damages, or expenses (including reasonable attorneys’ fees) arising from:

• Your violation of these Terms,

• Your User Content,

• Your use of the Service or any third-party service,

• Your violation of laws or rights of third parties.

13. Governing Law & Dispute Resolution

a.) These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines.

b.) Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Pasig City, Metro Manila, Philippines.

c.) Before filing any court action, parties agree to attempt in good faith to resolve disputes by informal negotiations or mediation.

14. Modifications to Terms

We may revise or update these Terms from time to time. When we make material changes, we will provide notice (e.g. via email or system notification). Your continued use after the changes become effective signifies your acceptance.

15. Severability & Waiver

• If any provision of these Terms is found invalid or unenforceable, the remaining provisions will continue in full force.

• Our failure or delay to enforce any right or provision under these Terms does not constitute a waiver of such right.

16. Entire Agreement

These Terms (together with the Privacy Policy and any other agreement you enter into with us) constitute the entire agreement between you and us regarding the Service and supersede all prior agreements or understandings.
